These Terms of Service ("Terms") govern your access to and use of FluentNow.ai ("Service"), operated by Crystalab LLP, a limited liability partnership registered in England and Wales ("FluentNow," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Service Description

FluentNow provides an AI-powered English conversation practice platform designed to help users build confidence and improve spoken English skills. The Service includes a free English level assessment and, for subscribers, ongoing practice conversations, progress tracking, and personalised improvement feedback.

FluentNow is not a certified language assessment provider. CEFR level estimates and all feedback generated by the Service are approximate, AI-generated, and provided for informational and educational purposes only. They should not be relied upon as formal qualifications or certifications. AI-generated feedback may contain inaccuracies.

2. Eligibility

You must be at least 16 years of age to use the Service. By using FluentNow, you represent and warrant that you are at least 16 years old. If we become aware that a user is under 16, we will terminate the account and delete associated data.

3. User Accounts

To access certain features of the Service, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to keep your account credentials secure.

Accounts are personal and may not be shared with or transferred to any other person. You are responsible for all activity under your account.

We reserve the right to suspend or terminate your account at our discretion if you violate these Terms.

4. Free and Paid Features

Free Tier. The Service offers a free English level assessment, which includes a short conversation with our AI assistant and a personalised assessment of your spoken English level. No account or payment is required. We reserve the right to limit the number of free assessments available per user or device, or to modify or discontinue the free offering at any time.

Paid Subscription. Access to ongoing practice conversations, progress tracking, and personalised improvement plans requires a paid subscription. The current subscription price is €30/month (approximately $35 USD). Pricing is displayed at the time of purchase and may vary by currency.

Early Access and Invitations. The Service may operate on an invite-only basis during early access periods. Promotional or early-bird pricing may be offered at our discretion and is subject to change.

5. Payment, Billing, and Auto-Renewal

Subscriptions are billed monthly through Stripe. By subscribing, you authorise us to charge your chosen payment method on a recurring monthly basis.

Auto-Renewal. Your subscription will automatically renew at the end of each billing cycle at the then-current subscription price unless you cancel before the renewal date. You will be charged automatically until you cancel.

Cancellation. You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to paid features through the end of your current billing period. No partial refunds are issued for unused time within a paid period.

Refunds. You may request a full refund within 7 days of your first subscription payment by emailing privacy@fluentnow.ai. Refunds are not available after this 7-day window or on any renewal charges.

Price Changes. We reserve the right to change subscription pricing with at least 30 days' written notice. Existing subscribers will retain their current rate through the end of the active billing cycle; the new pricing will apply upon the next renewal.

Promotional Trials. FluentNow may offer promotional trial periods at its discretion. Trial terms will be communicated at signup. Unless cancelled before the trial period ends, trials will automatically convert to paid subscriptions at the applicable rate.

6. Acceptable Use

You agree to use the Service only for its intended purpose of English language learning and practice. You agree not to:

  • Use the Service for any purpose other than English language learning and practice.
  • Use hate speech, harassment, threats, or any unlawful, abusive, or discriminatory language during conversations.
  • Attempt to jailbreak, manipulate, or exploit the AI system, including attempts to extract or reverse-engineer system prompts, models, or underlying technology.
  • Register or maintain multiple accounts.
  • Use automated tools, bots, or scripts to access the Service without our prior written permission.
  • Circumvent usage limits, payment requirements, or any technical restrictions of the Service.
  • Use the Service in any manner that could damage, disable, overburden, or impair it, or interfere with any other user's experience.

Violation of these terms may result in immediate suspension or permanent termination of your account without refund.

Fair Use. To ensure quality and availability for all users, the Service is subject to fair use limits. FluentNow reserves the right to limit usage that is excessive or that negatively impacts service quality for other users.

7. Intellectual Property

Our Content. The Service, including its AI models, assessment methodology, conversation design, interface, and all system-generated content (assessment reports, feedback, CEFR estimates, and improvement suggestions) is owned by Crystalab LLP and protected by applicable intellectual property laws.

Your Content. You retain all rights to your voice input. FluentNow does not claim ownership of your spoken words. Transcripts of conversations are generated by FluentNow as part of the Service. We grant you a non-exclusive, personal licence to access, view, and export your transcripts and assessment results for your own use. You are free to share your assessment results.

User-Generated Content Licence. By using the Service, you grant FluentNow a non-exclusive, royalty-free licence to process your voice input and conversation data solely for the purpose of providing and improving the Service. We do not use your voice recordings or conversations to train AI models.

8. Privacy and Data

Your use of the Service is also governed by our Privacy Policy, available at fluentnow.ai/privacy. The Privacy Policy describes what data we collect, how we use it, and your rights regarding your personal data.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING:

  • We do not guarantee the accuracy of any CEFR level assessment, language feedback, or AI-generated content.
  • We do not guarantee any specific learning outcomes, improvement, or results.
  • The Service is not a substitute for certified language assessment, professional language instruction, or any formal educational programme.
  • AI-generated feedback may contain errors, inaccuracies, or inappropriate suggestions.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CRYSTALAB LLP AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FRAUD OR FRAUDULENT MISREPRESENTATION, OR ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

11. Indemnification

You agree to indemnify, defend, and hold harmless Crystalab LLP and its officers, members, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with your violation of these Terms, your misuse of the Service, or your violation of any applicable law or third-party rights.

12. Account Suspension and Termination

We may suspend or terminate your account and access to the Service, with or without notice, if we reasonably believe that you have violated these Terms, including but not limited to:

  • Breaching any provision of these Terms or the Acceptable Use policy.
  • Registering or maintaining multiple accounts.
  • Using the Service for purposes other than English language learning.
  • Attempting to exploit, manipulate, or reverse-engineer the AI system.
  • Engaging in abusive, harassing, or unlawful conduct.
  • Circumventing usage limits or payment requirements.

Upon termination, your right to use the Service ceases immediately. We are not obligated to provide a refund for any remaining subscription period in cases of termination for cause.

You may delete your account at any time through your account settings or by emailing privacy@fluentnow.ai.

13. Dispute Resolution and Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales.

Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where applicable law grants you the right to bring proceedings in your local courts. If you are a consumer resident in the European Union, you retain any rights to which you are entitled under mandatory consumer protection legislation in your country of residence.

14. Changes to These Terms

We may update these Terms from time to time. For material changes, we will provide at least 30 days' notice via the email address associated with your account. For minor clarifications or non-substantive changes, we may update these Terms with notice posted on the Service.

Your continued use of the Service after the notice period constitutes your acceptance of the revised Terms. If you do not agree with any changes, you must stop using the Service and cancel your subscription before the changes take effect.

15. General Provisions

Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Crystalab LLP regarding the Service.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

Waiver. Our failure to enforce any provision of these Terms shall not be deemed a waiver of that provision or of our right to enforce it in the future.

Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
